1-Levelware(tm) Licensing Agreement
D R A F T
Automated Education, Inc.
March 23rd 1993
1. A license is Permission to use the tradename 1-Levelware(tm)
and the Marketing Method for marketing, advertising,
distributing software of your own or other's creation. The
product must clearly state in a conspicuous and visible
manner that
"1-Levelware is a trademark of Automated Education, Inc.
Used by Permission"
2. In support of your business, Automated Education will teach
you the 1-Levelware Software Marketing Method.
3. Automated Education will introduce you to distribution
channels for the product(s) you carry.
4. Automated Education will provide you with information
critical to the smooth operation of a software company. You
will be refered to suppliers of high quality materials with a
proven record of satisfied customers.
5. Automated Education will provide you with a written
professional critique of the product(s) (software and any
written materials) you wish to license.
6. Automated Education will offer you a PC software package
designed specifically to automate a company implementing the
1-Levelware Software Marketing Method (available 7/93).
7. In short, I understand that the success of everyone in the
'family' is vital to the success of 1-Levelware. And as such,
I am committed to assisting every licensee find the level of
success they desire.
8. The cost to license 1-Levelware and the Marketing Method is
$200 for the first product and $20 per product after that.
This is yearly licensing fee payable in advance.
9. You may not 1-Levelware any product without the author's
written permission. This must be filed with Automated
Education Inc at the time the license is applied for.
10. You must provide a virus free working version of the product
at the time the license is applied for to Automated
Education, Inc.
11. You are not an employee in any way of Automated Education,
Inc. and as such you may not enter into negotiations or any
other businesses dealings for Automated Education, Inc. The
tax liabilities and legal ramifications of your business are
your own and have nothing to do with Automated Education,
Inc.
12. Packaging, distribution, processing registrations, paying
bonuses (in short, implementing the 1-Levelware Marketing
Method) are your responsibilities.
13. You must be willing for other 1-Levelware Distributors,
National Distributors, other 1-Levelware Licensees in good
standing and Automated Education to use your name,product
name and description in advertising allowed by Automated
Education, Inc.
For example, as a Licensee in good standing, you may want to
advertise that
"'Alien Attack' by XYZ company is 1-Levelware(tm)
marketed in the fine tradition of other hits such as
"The Sound Board" by Automated Education, Inc."
14. You may drop the license for a product only after it is
removed permanantly from all known distribution channels. You
may not license a product and then drop the license for
future versions of the product. 1-Levelware helped get you
that installed base of customers and popularity, therefore
you must maintain your license.
Releasing a product that has the same purpose, main idea,
basic structure or look and feel as one that is already
licensed does not open the door for dropping the license.
In order to drop the license, you must drop the product.
NOTE:
This is a DRAFT. Its purpose is to communicate the main ideas for
the licensing agreement. Final form of this document will be
available April 30th, 1993. I apologize for the delay. You will
receive the official agreement in the mail.
